ZyraLabs reserves the right to modify, update, or discontinue any service at any time.
3. Client Responsibilities
Clients must provide:
- Accurate project requirements
- Timely feedback and approvals
- Necessary content, credentials, and access
- Payment within the agreed timeline
Any delay in providing information may impact delivery timelines.
4. Payments & Billing
Payments are structured on a milestone basis unless otherwise agreed. All payments are non-refundable once work begins. ZyraLabs may pause or terminate ongoing work if payment terms are not met.
5. Intellectual Property
Unless stated otherwise:
- All final project files (design, code, content) become the client's property after full payment.
- ZyraLabs retains rights to showcase non-confidential work in its portfolio.
Any confidential or proprietary project will not be displayed publicly upon client request.
6. Confidentiality
Both parties agree to:
- Maintain confidentiality of shared information
- Not disclose sensitive data to third parties without permission
NDAs can be signed upon client request.
7. Revisions & Changes
Most projects include a fixed number of revisions. Additional revisions or changes outside the original scope may incur extra charges.
8. Third-Party Tools & Integrations
ZyraLabs may use third-party services such as hosting providers, APIs, plugins, and marketing tools. We are not responsible for:
- Third-party outages
- Bugs caused by external systems
- Policy changes or limitations introduced by third-party providers
9. Limitation of Liability
ZyraLabs is not liable for:
- Loss of revenue
- Data loss
- Business interruptions
- Damages caused by misuse of our services or unauthorized access
Our liability is limited to the amount the client paid for the project.
10. Termination
ZyraLabs may terminate a project if:
- Payment is delayed
- Client violates T&C
- Project scope becomes unrealistic or unsafe
The client may terminate the project anytime, but completed work must be compensated.
11. Governing Law
These Terms are governed by the laws of India. Any disputes shall be resolved in the jurisdiction of [Your City], India.
